These Terms of Service ("Terms") govern your access to and use of decisiveresources.com (the "Site") and any services offered by Decisive Resources, a Wyoming LLC headquartered in Austin, Texas ("Decisive Resources," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.
Decisive Resources provides privacy management, virtual CISO (vCISO) consulting, OSINT and background investigations, due diligence, executive privacy management, personal cyber crisis management, and related advisory services (collectively, the "Services"). The specific scope, deliverables, fees, and timeline for any engagement will be set out in a separate written agreement or statement of work ("Engagement Agreement") between Decisive Resources and the client. In the event of a conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls with respect to that engagement. Certain of our Services may involve OSINT reviews, public-records searches, or background-related research; how we conduct and use that information is described in our Privacy Policy.
You agree to use the Site only for lawful purposes and agree not to:
Consultations and meetings booked through the Site are scheduled using a third-party scheduling platform. Booking a consultation does not, by itself, create a client relationship or an obligation to provide Services; an engagement begins only upon execution of an Engagement Agreement.
Privacy management, cybersecurity, and investigative work involve inherent uncertainty. While we apply industry best practices, certified personnel, and diligent effort to every engagement, we do not and cannot guarantee any particular outcome, including complete removal of personal information from third-party sources, prevention of all security incidents, or the discovery of any particular information in an investigation. No security program can guarantee against all forms of intrusion or compromise, and any Service should be considered one part of your overall security posture, not a guarantee of security. Where an engagement involves your organization's own network or systems, you remain responsible for the security of that network and data, and we are not liable for damages resulting from security breaches of it, including those arising from third-party actions (such as hacking) or your own acts or omissions.
You are responsible for maintaining your own backups and other protection of your data, files, and information, and we recommend doing so before the performance of any Services. Except as otherwise stated in an Engagement Agreement, we have no obligation or liability with respect to data that is lost, damaged, or destroyed on systems that remain under your ownership or control.
We treat client information as confidential and handle it on a need-to-know, compartmentalized basis among the personnel involved in a given engagement. Additional confidentiality terms, including any mutual non-disclosure obligations, may be set out in your Engagement Agreement or a separate confidentiality agreement.
All content on the Site, including text, graphics, logos, and images, is owned by or licensed to Decisive Resources and is protected by applicable intellectual property laws. Unless otherwise stated in an Engagement Agreement, work product and other deliverables we prepare for a client remain our intellectual property, and we grant the client a license to use them for the purposes of the engagement; the specific scope of that license is set out in the applicable Engagement Agreement.
Fees for Services are set out in the applicable Engagement Agreement or invoice. Unless otherwise agreed in writing, invoices are due upon receipt, and we reserve the right to suspend Services for overdue accounts.
THE SITE AND ANY GENERAL INFORMATION PROVIDED ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NOTHING ON THE SITE CONSTITUTES LEGAL, FINANCIAL, OR SECURITY ADVICE, AND SHOULD NOT BE RELIED UPON AS SUCH. EXCEPT AS EXPRESSLY SET FORTH IN AN ENGAGEMENT AGREEMENT, SERVICES ARE PROVIDED WITHOUT WARRANTY OF ANY RESULTS TO BE ACHIEVED, AND WE MAKE NO WARRANTY THAT ANY SERVICE WILL BE FREE FROM LOSS OR LIABILITY ARISING OUT OF THIRD-PARTY TECHNOLOGY, THIRD-PARTY ACTION SUCH AS HACKING, OR YOUR OWN ACTS OR OMISSIONS, INCLUDING FAILURE TO ENCRYPT.
TO THE FULLEST EXTENT PERMITTED BY LAW, DECISIVE RESOURCES AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR SERVICES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO AN ENGAGEMENT WILL NOT EXCEED THE FEES PAID BY THE CLIENT FOR THE SERVICES GIVING RISE TO THE CLAIM, UNLESS OTHERWISE STATED IN THE APPLICABLE ENGAGEMENT AGREEMENT.
You agree to indemnify and hold harmless Decisive Resources and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your misuse of the Site, violation of these Terms, or violation of any law or third-party right.
These Terms, and any Engagement Agreement unless otherwise stated therein, are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any legal suit, action, or proceeding arising out of or relating to these Terms, the Site, or our Services shall be brought exclusively in the United States federal or state courts located in the State of Texas, and each party irrevocably submits to the exclusive jurisdiction of those courts and waives any objection to venue being laid there.
We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date. Your continued use of the Site after a change becomes effective constitutes acceptance of the revised Terms.
